   מקבל המידע נדרש להיחשף ולבחון את אותו מעביר המידע מוכן לחשוף את המידע ואו חלק ממנו לפי שיקול דעתו.
3. במטרה להגן על מידע זה וכדי להגן על: _מיזם …… (מעביר המידע) הסכם זה קובע את התנאים והמגבלות שיחולו על המידע.

לפיכך הוצהר, הותנה והוסכם בין הצדדים כדלקמן:

1. בתמורה לקבלת המידע החסוי, מקבל המידע מתחייב בפני מעביר המידע שלא יחשוף מידע כלשהו לאף אדם בין בכתב ובין בעל פה ללא אישורו של מעביר המידע.
   מעבר לכך מובהר בזאת שמקבל המידע אינו רשאי להמחות את זכויותיו להיחשף למידע ללא הסכמה של מפורשת בכתב של מעביר המידע.
2. ההגדרה של “מידע סודי” מתייחסת לכל מידע ולכל צורה ואופן הקשורה במישרין ואו בעקיפין ממעביר המידע או מכל אדם הממונה מטעמו.
   מידע סודי מתייחס לכל הנאמר ונלמד במהלך הדיונים ובין היתר כולל:

• מידע טכני
• שיטות עבודה
• מידע אינפורמטיבי
• מסמכים / דיווחים / שרטוטים
• גישה לפטנטים ולבקשות לפטנטים

3. התחייבות זו לשמירה על סודיות בכל הנוגע למידע, תעמוד בתוקפה של: __________, או ללא הגבלה זמן. אלא אם המידע הפך לנחלת הכלל שלא מחמת מעשה
   ואו מחדל במישרין או בעקיפין של מקבל המידע או מי מטעמו.
   במידה ורשות הפועלת על פי דין ורשאית לדרוש לחשוף את המידע החסוי מבקשת לחשוף את המידע, יהיה על מקבל המידע להודיע למעביר המידע הודעה על כך בתוך פרק זמן סביר.
4. מקבל המידע לא יחשוף בכל זמן שהוא, לגוף שלישי כל פרט מידע חסוי שהתקבל ממעביר המידע או מכל אדם מטעמו.
   מקבל המידע מתחייב שלא לנצל את המידע החסוי ואו חלקים ממנו לצרכים עסקיים, פרסומיים, ולכל מטרה אחרת מלבד ביצוע הערכה
   והחלטה לגבי העניין שיש לו במידע המוצג אלא אם כן קיבל רשות לכך בכתב ממעביר המידע.

5.כלל החומרים שנמסרו על ידי מעביר המידע במהלך הדיונים ואו ההתכתבויות בין הצדדים יוחזרו למעביר המידע עם דרישה לכך ועל חשבון מקבל המידע.
כאשר החומרים כוללים:

• חומרים כתובים 
• עיצובים / סקיצות / דוגמות
• תכנות מחשב / תכניות הדמיה

6. מקבל המידע מתחייב לכך שכל אדם מטעמו כולל עובדיו, מנהליו, נציגיו, אשר המידע יגיע אליהם יחתום על מסמך סודיות זה ויעמוד בכלל הסעיפים לתנאי הסודיות.
7. הסכם זה יהיה בכפוף לחוקי מדינת ישראל, הפורום המוסמך לטפל בכל עניין שיעלה בנוגע להסכם זה יהיה בית המשפט בעיר:___________________, על אף האמור,
   למעביר המידע שמורה הזכות לנקוט בצעדים משפטיים כנגד מקבל המידע או כנגד כל צד אחר בכל פורום אחר כדי להגן על זכויותיו.
8. אין בהסכם זה בכדי ליצור יחסי שותפות ואו יחסי הרשאה ואו יחסי שליחות בין הצדדים.

והואיל ובמסגרת תהליך האיפיון והפיתוח יתגלו לספק נתונים סודיים רבים של היזם לרבות תהליכי העבודה, פרטי התקשורת של שותפים עסקיים קיימים
ופוטנציאלים ולקוחות קיימים ופוטנציאלים

לכן הוסכם בין הצדדים :

1. מידע סודי
   1. “מידע סודי” במסמך זה משמעותו:

כל מידע, בין בכתב ובין בעל פה ובין בכל צורת אגירה אחרת, הנוגע לנתוניה העסקיים של היזם ו/או של שותפיה ו/או לקוחותיה, אשר תוכנו, צורתו או שצורת אחזקתו
אצל היזם מעידים עליו כי הוא סודי וכן, כל מידע אחר שיוסכם בין הצדדים כי הוא סודי ו/או שהיזם תסמן כסודי לפני העברתו למאפיין, אשר יגיע למאפיין עקב או כתוצאה מביצוע האיפיון.

1. 1. על כל העותקים של המידע יחולו הוראות התחייבות זו וכל האמור לגביו יחול גם על עותקיו.
2. מוסכם בין הצדדים כי המונח “מידע סודי” אינו כולל מידע אשר הוכח כי הוא:
   1. מידע שהיה בידיעת המאפיין וברשותו לפני מסירתו על ידי היזם.
   2. מידע שהפך להיות נחלת הכלל בדרך של פרסום ו/או בדרך אחרת, אך למעט פרסום ו/או גילוי שהם תוצאה מהפרת התחייבות אחד הצדדים או מי מטעמם לשמירת סודיות כאמור במסמך זה.
   3. מידע שהגיע לידיעת מאפיין ממקורות אחרים בדרך של רכישת זכויות או בכל דרך חוקית אחרת שהיא.
   4. מידע אשר המאפיין חייב לגלות עפ”י דין לרשות כל שהיא או לאדם כל שהוא ותינתן להיזם הודעה על ידי המאפיין כי בכוונתו לגלות את המידע.
3. המאפיין מתחייב 
   1. לשמור בסודיות מוחלטת ולא לגלות לכל אדם או גוף כל שהוא, את המידע הסודי.
   2. כי לא יעסיק על ידו בביצוע ההסכם עובד ו/או קבלן משנה ו/או אדם בעל תפקיד שהוא, מבלי שיחתמו על התחייבות בנוסח דומה לתוכן התחייבות זאת.
   3. לא להעתיק ו/או להרשות לאחרים ו/או לגרום לאחר לבצע במידע סודי שכפול, העתקה, צילום, תדפיס וכל צורת העתקה אחרת.
   4. לשמור בהקפדה את המידע הסודי בכל אמצעי הזהירות המקובלים לגבי שמירת מידע מסוגו ומטיבו של המידע הסודי הנדרשים לשם מניעת אובדנו ו/או הגעתו לידי צד בלתי מורשה.
   5. עם דרישת היזם, יוחזר לה כל המידע הסודי והעתקיו מכל מין וסוג והמאפיין לא יהיה רשאי להשתמש בו ו/או ונגזרותיו.
   6. בכל מקרה של אובדן מידע סודי כל שהוא להודיע על כך מידית ובכתב להיזם.
   7. לא לפרסם בכל צורה שהיא את המידע הסודי.
   8. לא לעשות כל שימוש במידע הסודי, בין במישרין ובין בעקיפין, בין בעצמו ובין באמצעות אחרים, ולא להעביר ו/או למסור כל מידע סודי לצד שלישי. 
   9. לא לחשוף לגורם מאושר בכתב על ידי הצדדים מידע כלשהו מבלי שיחתום אותו גורם על התחייבות בנוסח דומה לתוכן התחייבות זאת.
   10. להיות אחראי לכל נזק שיגרם להיזם, לשותפיה העסקיים או ללקוחותיה, אם יגרם, עקב הפרת אחת או יותר מהתחייבויות המאפיין על פי כתב התחייבות זה ו/או כל צד ג’ אשר התחייב כלפי הצד המקבל על התחייבות בנוסח דומה לתוכן התחייבות זו.
4. למען הסר ספק, מוצהר ומוסכם כי אין בעצם גילוי המידע על-ידי היזם כדי להעניק למאפיין כל זכות או רשות מכל סוג שהוא בו, לרבות בקשר עם זכויות קניין רוחני.
5. כתב התחייבות זה אינו מוגבל בזמן.
6. כתובות הצדדים לעניין כתב התחייבות זה הן הכתובות המפורטות ברישא לכתב התחייבות זה, או כל כתובת אחרת עליה יודיע אחד הצדדים למשנהו בכתב.
7. משלוח הודעה בדואר רשום, מסירתה ביד, או משלוח בפקסימיליה יחשבו כדרך מספקת למתן הודעות.
8. כל הודעה שתשלח על ידי אחד הצדדים למשנהו בדואר רשום יראוה כאילו נתקבלה 72 שעות לאחר מסירתה בדואר.
9. כל הודעה שתשלח בפקסימיליה או שתימסר ביד יראוה כאילו נתקבלה 24 שעות לאחר מסירתה.

MUTUAL NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (this “Agreement“) effective as of ________________, (the “Effective Date“) governs the disclosure of information by and between__________________, (the “Company“) together with its Representatives, and __________. 

Discloser and Recipient. As to any particular Confidential Information (as hereinafter defined), the “Discloser” is the party disclosing such Confidential Information and the “Recipient” is the party receiving such Confidential Information.

Confidential Information. As used herein, “Confidential Information” means any and all technical and non-technical information and/or data, including know-how, inventions, discoveries, designs, processes, formulations, compounds models, equipment, algorithms, software programs, documents, systems, specifications, plans, information concerning research and development work, prices, costs, proposed transaction terms and other commercial information and/or trade and business secrets including information which relates to current, planned or proposed products, marketing, sales and business plans or status, forecasts, projections and analyses, financial information, and customer information, in whatever form, related to the past, current, future or proposed operations, products, services and business of Discloser, its business partners, suppliers, licensors and customers, which information or data Discloser may disclose to Recipient or to which Recipient may gain access as a result of the privileged relationship created by this Agreement, however disclosed, whether proprietary to Discloser or any third party, and whether or not bearing any legend or marking indicating that such information or data is confidential. Notwithstanding the foregoing, Confidential Information is exclusive of information or data that Recipient can prove by credible evidence: (i) was already known to Recipient prior to disclosure and such prior knowledge can be demonstrated by Recipient; (ii) is independently developed by or for Recipient without reference to or use of the Confidential Information which can be demonstrated by Recipient by dated, written records; (iii) which at the time of disclosure by Discloser is generally available to the public or thereafter becomes generally available to the public other than through a breach of any obligation under this Agreement caused by an act or omission on the part of Recipient.

Limitations on Use and Disclosure. Recipient understands and agrees that it may use the Confidential Information for no purpose other than discussing a potential business opportunity with Discloser (the “Permitted Use“). Recipient shall assume full responsibility for enforcing this Agreement and only permit access to Confidential Information to those of its Representatives having a need to know such information in connection with the Permitted Use, who are aware of the provisions of this Agreement and who have signed confidentiality agreements or are otherwise legally bound by confidentiality obligations consistent with, and no less restrictive than, the terms of this Agreement.

Disclosure Required by Law. Notwithstanding anything contained herein to the contrary, Recipient may disclose Confidential Information pursuant to an order of a court of competent jurisdiction or as otherwise required by law. Under such circumstances Recipient will, if reasonably possible under the circumstance of such disclosure, provide Discloser with all reasonable advance notice of such disclosure in order to afford Discloser an opportunity to take legal action to prevent or limit the scope of such disclosure, will cooperate with Discloser in connection therewith, and will disclose such Confidential Information only to those parties it is required or compelled to.

Standard of Care. Recipient shall use at least the same degree (but no less than a reasonable degree) of care and protection to prevent the unauthorized use, dissemination or copying of any Confidential Information of Discloser as Recipient uses to protect its own confidential information. Recipient specifically warrants that it has established procedures to prevent misuse of Confidential Information. Recipient shall immediately notify Discloser in the event of any loss or unauthorized disclosure or use of any Confidential Information.

Return of Confidential Information. Upon termination or expiration of this Agreement, or upon written request of Discloser, Recipient shall promptly return to Discloser all documents, notes and other tangible materials representing the Confidential Information, and all copies thereof.

No Property Rights. Recipient agrees that nothing contained in this Agreement shall be construed as granting any property rights, by license (save for the Permitted Use described in Section 3) or otherwise, to any Confidential Information of Discloser disclosed pursuant to this Agreement, or to any invention or any patent, copyright, trademark, or other intellectual property right of Discloser embodied by such Confidential Information. Recipient shall not make, use or sell for any purpose any product or other item using, incorporating or derived from any Confidential Information.

Reproduction of Confidential Information. Confidential Information shall not be reproduced in any form except as required to accomplish the Permitted Use. Any reproduction of any Confidential Information shall remain the property of Discloser and shall contain any and all confidential or proprietary notices or legends that appear on the original, unless otherwise authorized in writing by Discloser.

Reverse Engineering. Recipient acknowledges that Discloser’s software programs contain valuable Confidential Information, and agrees that it will not modify, reverse engineer, decompile, create other works from or disassemble any of Discloser’s software programs unless otherwise permitted in writing by Discloser.

No Warranty. EXCEPT AS SET FORTH IN THIS AGREEMENT THE CONFIDENTIAL INFORMATION IS PROVIDED “AS IS”, WITHOUT ANY WARRANTY WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES AS TO ITS ACCURACY OR COMPLETENESS, OPERABILITY, MERCHANTABILITY, NON-INFRINGEMENT, OR USE OR FITNESS FOR A PARTICULAR PURPOSE. 

Term and Termination. This Agreement shall be effective from and after the Effective Date and shall expire one (1) year after the Effective Date, or may be terminated by either party at any time upon thirty (30) days written notice to the other party. Recipient’s obligations under this Agreement shall survive expiration or termination of the Agreement for any reason for a period of three (3) years, shall be binding upon Recipient’s heirs, successors and assigns, and shall continue in full force and effect with respect to all Confidential Information unless and until such information becomes subject to one of the exceptions set forth in Section 2.

Lawsuits. This Agreement shall be governed by and construed under the laws of the State of Israel without reference to principles and laws relating to the conflict of laws. The competent court of Tel-Aviv-Jaffa in Israel shall have exclusive jurisdiction with respect to any dispute and action arising under or in relation to this Agreement.

Remedies. Recipient hereby agrees that breach of this Agreement may cause Discloser irreparable damage for which recovery of damages would be inadequate recompense, and that, in the event of any actual, likely, or threatened breach of this Agreement, Discloser shall be entitled to seek timely injunctive relief, as well as such relief as may be available at law or in equity.

Assignment; Transfer. Except to its successor in the event of a merger or sale of all or substantially all of a party’s assets or a change in control effected by a sale of a party’s voting securities, a party may not assign or transfer any rights or obligations under this Agreement without the prior written consent of the other party. 

Notices. All notices permitted or required under this Agreement shall be in writing and shall be delivered by personal delivery, electronic mail, facsimile transmission or by certified or registered mail, return receipt requested, and shall be deemed given upon personal delivery, five (5) days after deposit in the mail, or upon acknowledgement of receipt of electronic transmission. Notices shall be sent to the addresses set forth at the beginning of this Agreement or such other address as either party may specify in writing using the notice procedures set forth herein.

General. This Agreement may not be amended except by a writing signed by both parties hereto. If any provision of this Agreement is found by a proper authority to be unenforceable or invalid, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole and, in such event, such provision shall be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law or applicable court decisions. This Agreement sets forth the complete and exclusive statement of agreement between the parties with regard to the subject matter hereof and supersedes all prior and contemporaneous discussions, negotiations, and agreements, oral or written, with regard to such subject matter.

In Witness Whereof, the parties hereto have executed this Agreement (which may be executed in one or more counterparts, each of which shall be deemed an original, and all of which shall constitute one and the same instrument) as of the Effective Date.
